FREIGHT TERMS AND CONDITIONS IN ADDITION TO GENERAL TERMS AND CONDITIONS

INSURANCE

RANGELAND is pleased to offer you optional insurance for any declared value on your valuable cargo. If you need additional insurance, please contact your RANGELAND representative accordingly and we will be happy to provide an insurance estimate. Note that optional insurance coverage excludes rust, oxidization, discoloration, scratching, denting, chipping, damage from tarping, or any internal electrical or mechanical derangement (not caused by collision or accident). Unless agreed to beforehand, cargo insurance and subsequently RANGELAND’s maximum liability is $2.00 per lb or $4.41 per kg.

TRANSPORTATION SPECIFICS

Prior to any commitment from RANGELAND a detailed review is recommended to be completed based on a mutually agreed upon execution plan. This will include review of the scope of work, delivery to site, schedule, equipment availability, permit regulations, route studies, wire lifting, utility service requirements and operations in the areas that would be affected by the move. Engineered drawings of equipment and site plot plans and a site visit may be required at a minimum to complete detailed operational and route surveys.

GENERAL TERMS AND CONDITIONS

1.     Client: The term “Client” will mean the person or company that contracts the work to Rangeland Truck and Crane and Logistics and is responsible for paying the invoice.

2.     All quotes provided are in Canadian Funds, unless expressly stated otherwise.

3.     Quotation is valid for 30 days from date of request, unless otherwise expressly stated.

4.     RANGELAND price is subject to change, if weights are different from those stated in the original quotation. The price may also be subject to change should any of the dimensions vary from those stated in the original quotation.

5.     Quoted prices do not include any applicable taxes, taxes will be charged appropriately as per the legal governing jurisdiction.

6.     Terms: Net 30 Days from invoice date. Interest at 2% per month (24% per annum) charged on all overdue accounts.

7.     If RANGELAND is delayed in the performance of the works due to the fault of the purchaser, its’ employees, servants, agents, or contractors of the purchaser other than RANGELAND, RANGELAND shall be entitled to be reimbursed for any costs which it incurs because of any such delay. Time and material rates for labour and equipment shall apply.

8.     RANGELAND represents that it will make every reasonable effort to make delivery as requested, but the estimated pickup or delivery time is not guaranteed.

9.     Rates are predicated on the goods being released at a value of $2.00 per pound, per article not to exceed $100,000.00 per entire truckload (the released value). If actual cargo value is greater than such released value, customer must conspicuously declare a greater value on the bill of lading and the face of the rate confirmation sheet, which is accepted by the carrier in writing prior to loading; and, in such case, an Excess Valuation Charge shall be added to the quote in addition to all other rates. Otherwise, absent proper declaration of excess value, the shipment shall be transported under the released value stated herein.

10.  This quotation will be limited to the scope of work detailed herein and will be governed by the terms and conditions set out in this quotation.

11.  Fuel Surcharge, if applicable is based on the current rate and is subject to change at the time of shipping.

12.  Loading and unloading is the responsibility of others. RANGELAND equipment may require assistance with assembly and disassembly, if so, it is understood to be completed free of charge on site.

13.  RANGELAND reserves the right to use absolute discretion to deviate from the route or manner of transporting goods as deemed desirable or necessary.

14.  Handling of goods, if expressly or implied that RANGELAND is to use a particular method of transporting, handling, or storing the goods, RANGELAND will give priority to that method. However, if it cannot conveniently be adopted by Rangeland, we are authorized to transport, handle or store the goods by any other method.

15.  Prices are subject to purchaser providing RANGELAND with access, ample room, and suitable ground conditions to perform the work as outlined. Access shall include removal of any obstacles and/or utilities as required by RANGELAND. The client warrants that there is free and clear access for RANGELAND (and sub-contractors) equipment and employees at both loading and delivery locations. It is the responsibility of the client to ensure that all avenues of access can sustain the weight of the equipment (loaded or not). RANGELAND will not assume any responsibility should damage occur to any paved or non-paved areas, regardless of how the damage occurs. Conversely, if because of conditions at either the loading or unloading site, additional towing or pushing is required for our equipment, these additional charges will be charged back to the client at a cost plus. If there are any damages to Rangeland’s equipment because of the additional towing or pushing, the cost of repairing the equipment will be charged back to the client. Permission for use of private access roads to site may be required from the Landowner/Leaseholder and is to be obtained by the customer at no additional cost to Rangeland.

16.  Subject to the availability of equipment at time of firm order.

17.  Quotation is subject to permit approval from the required jurisdictions. All charges for changes in conditions to permits will be additional.

18.  Shipping drawings / photos must be provided showing dimensions, center of gravity, tie down locations, orientation of nozzles etc. Any estimates will assume centre of gravity to be centre of structure being loaded. The price is subject to change should any of these details be different than the actual. Adequate provisions for jacking, crane lifting, and load securement (tie down points) are to be provided by others at no cost to RANGELAND.

19.  If loaded dimensions exceed 16’, or gross weight exceeds 200,000lbs, a minimum of 60 working days ‘notice is required to obtain the proper permits. Super Load applications must be approved prior to loading.

20.  It is understood that all pieces of equipment or material being transported or relocated by RANGELAND do not contain hazardous materials.

21.  RANGELAND reserves the right to broker, or subcontract loads as deemed, within its sole discretion, to be necessary and appropriate. Unless otherwise agreed in writing, these Terms and Conditions shall apply to any brokered or subcontracted load.

22.  Customs clearance, bonds, duties, or taxes.  The Client is responsible to appoint a Customs Broker and to pay any duties or taxes required under applicable laws and regulations unless otherwise agreed.  The Client is responsible to furnish Rangeland all invoices and documentation useful or necessary to facilitate Custom’s Entry. The Client shall be bound by and warrant the accuracy of all documentation and information furnished to Rangeland by the Client or its agent. The Client is responsible for all costs including any increased duty, penalty, fine or expense resulting from inaccuracy, incomplete omission, waiting time at the border for paperwork, or any failure to make timely presentation.

23.  All permit costs will be charged to the client as a separate line item, unless otherwise indicated in the quotation. Super load permits may take up to 90-120 days for approval and are subject to the requirements of the granting agency. Note: Due to on-going challenges in receiving permits in a timely fashion due to the constant changes in the various jurisdiction’s bureaucracies. As well as significant construction projects and subsequent restrictions on major routes, additional charges may apply to your shipment. RANGELAND will order permits immediately upon confirmation of shipment based on dimensions provided thereon. If the dimensions are incorrect or if our truck reaches said jurisdiction or construction area prior to receiving a permit or clearance, standby rates will apply. Additionally, any costs associated with getting the necessary permits or clearance including, but not limited to; administration, barrier removal, additional police or pilot escorts, route surveys etc. will be applicable at cost plus. RANGELAND promises to be transparent in such transactions and will do everything in our control to mitigate these costs.

24.  Rates are not valid during seasonal road restrictions.

25. Chain Up / Chain off will be billed at additional1 hour each way at applicable rates per occurrence.

26.  If an item, route, or site inspection is required, it shall be charged as an additional cost to the quoted rate regardless of the result.

27.  RANGELAND price is based on two hours for loading and two hours unloading of equipment. Any demurrage accruing (through no fault of RANGELAND) wherever the same shall be the responsibility of the purchaser.

28.  Wire lifting, utilities, police escorts, sign crews, bridge surveys, road closures, sign removal, and engineering, if required, will be billed additionally at RANGELAND cost plus. 

29.  Tarping, wrapping, sealing or protection from any natural elements, road spray if required, will be billed additionally.

30.  All goods for transport must be sufficiently packaged, reinforced, or braced and structurally suitable for transportation. Shipping saddles, structural supports or stiffening is the responsibility of the shipping party. RANGELAND accepts no responsibility for any damage to cargo due to insufficient packaging or preparation.

31.  Carrier is not responsible for any direct or indirect damages whatsoever, including but not limited to damages resulting from delays caused by fires, strikes, governmental regulations, accidents, carriage service failures, adverse weather conditions, or any other cause beyond its control.

32.  Any delays in transportation due to conditions outside of RANGELAND control (road closures – weather–acts of God) may be subject to additional charges for personnel and equipment.

33.  A requirement of 48” consistent lineal clearance from ground level to the bottom of the module or shipping beams & lateral clearance of 12’6” between customer supplied and staged mod stands or blocking to accommodate self-loading and self-offloading via hydraulic transport trailers.

34.  Overtime premiums will apply to all hours worked on weekend and holidays. Unless stated otherwise, the prices quoted are based on rates in effect for regular working hours Monday to Friday ten (10) hours a day. Should there be circumstances beyond our control where work is required outside of those regular hours, overtime premiums will apply to all overtime hours worked.

35.  All transportation work performed by Rangeland is subject to all rules and regulations of governments having jurisdiction over the roads.

36. Exclusive Non-Poaching Provision: Client agrees that during the period of time that RANGELAND is providing services to the client under this quotation, and for a period of 7 days after the conclusion of the work included in the scope of work for this quotation, that client shall not solicit or attempt to solicit any of the following RANGELAND employees:

a) Any employee working in the sales department for RANGELAND; and

b) Any employee working in the logistics department; and

c) Any employee working in the operations department for RANGELAND (including, but not limited to project managers and project coordinators).

Client and RANGELAND agree that this provision only applies to RANGELAND employees, and not to employees of the Client (ie, the parties agree that this is not a mutual non-poaching agreement, but rather a one-way non-poaching provision, to the benefit of RANGELAND and only RANGELAND.

37.  Change orders / Contract modifications. The client may make changes to the contract by altering, adding to or deducting from the scope of work including changes of delivery schedule, weight or dimensions. These changes are subject to adjustments in the quotation price, completion schedule and subject to the right of RANGELAND to refuse such changes. A change order / contract modification will be submitted by RANGELAND to the customer to itemize additional charges that are required due to the change in schedule, dimensions, weight, or scope of work. The customer must confirm acceptance of the change order / contract modification within 15 days of receipt of the change order / contract modification. No work in relation to the contract will proceed until a change order / contract modification has been formally accepted and authorized by the client.

38. Please be advised that cancellations made up to 14 days before a scheduled booking via [email, text, phone call] may be processed without a penalty. Cancellations made 14 days or less before a scheduled booking may be subject to a service rate charge.

39.  Privilege and Confidentiality Notice: Documents provided by RANGELAND is intended only for the use of the individual or entity to which it is addressed and contains information that is privileged and confidential and that any dissemination, distribution or copying of the communication is strictly prohibited without written consent.

Estimate Acceptance - By an Authorized Officer of the Company

All freight transported by Rangeland its affiliates, divisions or sub-contractors are subject to these terms and conditions regardless of if explicated agreed to or not. Upon email acceptance, award, and/or P.O. from your Company, please be advised that you are acknowledging the acceptance and understanding of the above terms & conditions and are authorizing RANGELAND to begin all necessary studies as well as the possibility of incurring any costs in relation to the project and subsequent transportation of this cargo.
